B) THAT a Brantford Energy Task Force BE ESTABLISHED; and i. THAT the mandate of the Brantford Energy Task Force include the following: 1. Reviewing and making recommendations to City Council regarding: a. Memorandum of Understanding (MOU) with regards to the exploration of a merger with Brantford Energy Corporation and Energy+; 3 b. The Business Case for the potential merger; c. Shareholder Agreement; d. Merger Participation Agreement; e. Promissory Note; f. Any other documents or analysis related to the potential merger of Brantford Energy Corporation and Energy+; ii. THAT the Task Force be comprised of Councillor Utley, Councillor Martin, Council McCreary and Mayor Davis; and iii. THAT the Brantford Energy Task Force report directly to City Council; and iv. THAT the Legal Department provide administrative support and the Clerk’s department provide meeting support.
